Converting to a Nevada LLC or Corporation from an entity in another state OR Converting your Nevada entity to another Nevada entity type (e.g. Convert a Nevada LLC to a Nevada Corporation etc.) |
If your entity (LLC or Corporation) is registered in Nevada or another state, you can easily convert it to a Nevada LLC or Corporation. The process involves two steps: filing the Articles of Conversion with the Nevada Secy of State and then filing the Articles to create the new Nevada entity. |
Note that you can either have the new Nevada entity with the same name as your current entity if the name is available or you can register the Nevada entity with a new name. |

$350 State of Nevada Articles of Conversion Filing fee
- New Nevada entity filing fee
- First year's Nevada Registered Agent fee
- Las Vegas address is included for the first year. Mail forwarding cost is extra if any mail is forwarded. Your credit card will be kept in records to pay for mail forwarding costs. One time system setup charge = $5. Required US Postal service form (we will provide) will need to be completed and scanned and emailed to us.
- Help filing of subsequent forms (if any) such as Nevada List of Managers/ officers and Business License form, Tax ID, Nevada Reseller permit, DBA etc. (For expedited filing, additional fee maybe required)
- Included: the Operating Agreement or the bylaws for the entity.

Annual fees to be paid: |
- Note that every year you will need to pay the annual fee to the State of Nevada ($350 for LLCs and $650 for corporations).
- Annual Registered Agent Service fee ($75) to us will need to be paid every subsequent year. First year's Registered Agent fee is included in the fee you ay to convert. |

What happens next: After we receive your conversion order, we will prepare and email you the state form for your signature. We will then file the Articles of Conversion and make payments to the state of Nevada. At the same time, we will file the Articles to create the new Nevada entity. After completion, we will email you state stamped documents. Once you receive the Stamped Articles of Conversion and the Business License back the conversion is complete. |
